States Sue to Block Paramount Warner Bros Merger

A coalition of twelve state attorneys general filed a lawsuit on Monday seeking to block the proposed $110 billion merger between Paramount Global and Warner Bros. Discovery. The states contend that the transaction would raise movie‑ticket prices, diminish competition, and give the combined entity undue power over cable‑television distributors.

The plaintiffs—California, Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon and Washington—argue that the merger would create a “media behemoth” that violates antitrust law. Their complaint alleges that the combined company would control a substantial share of film licensing and streaming content, potentially forcing higher costs on consumers and limiting choices for distributors. The challenge follows a Department of Justice decision last month to decline blocking the deal, a move that reportedly surprised career staff who had been inclined to recommend litigation.

The states’ suit adds a new legal front to the merger’s review, and the outcome will determine whether the transaction proceeds or is halted on antitrust grounds. Courts will now assess the agencies’ claims alongside the DOJ’s earlier assessment, with the decision poised to influence the structure of the U.S. media landscape and the pricing of entertainment services.
